David W. Schoeder

Schoeder has 29 years of investment banking experience within the food industry specializing in acquisitions, divestitures, debt restructuring, private placement, and strategic advisory services. He is also a leading national expert on capitalization and governance issues relating to cooperatives and private companies. Prior to founding TFP, Schoeder served as managing director at both KPMG Retail Ventures and the Cooperative Funding Corp., the investment banking affiliate of National Cooperative Bank. Prior to the Cooperative Funding Corporation, Schoeder served as the assistant treasurer of Farm Credit Banks of St. Paul, a $12 billion lending institution serving the agribusinesses sector. Schoeder is a frequent speaker for grocery industry events including the Food Marketing Institute and National Grocers Association. He serves on the board of a number of private companies and is on the board of Food For All. Schoeder is second generation to the food industry.

Matthew S. Morris

Mr. Morris has fifteen years of corporate finance and investment banking experience within the food industry specializing in mergers, acquisitions and divestitures, with particular expertise in simultaneously executing multi-market divestiture processes with numerous buyers. Select clients for such "portfolio divestiture" services have included Albertson's, Food Lion, Kroger, Supervalu, Whole Foods and Winn-Dixie. Mr. Morris also has experience providing clients in bankruptcy with strategic advisory and divestiture services. Over the past five years, Mr. Morris has been an advisor on over 70 transactions. Prior to founding The Food Partners, Mr. Morris served as a Manager at KPMG Retail Ventures, KPMG's most successful corporate finance group in the United States. Mr. Morris began his career as an attorney at the US Securities and Exchange Commission.

James C. Floyd

Floyd has over 12 years of retail finance experience specializing in corporate development and strategic planning. Floyd specializes in advising clients on strategic acquisitions, divestitures and financing services. Prior to joining The Food Partners, Floyd had a distinguished retail finance career with companies including Wal-Mart, Kmart, and The Great Atlantic & Pacific Tea Co ("A&P"). While at A&P, a $9 billion food retailer, Floyd was involved in all aspects of the transformational acquisition of Pathmark including raising the needed financing. Additionally, Floyd successfully completed the divestitures of Sav-A-Center and Farmer Jack divisions. While at Wal-Mart, the world's largest company, Floyd served as a crucial member of the corporate finance group that was charged with corporate finance and strategic planning projects.

Ernie J. Smith

Smith is a veteran of the food industry with over 30 years of financial and operational experience in food retail, food service and convenience stores. He has been involved in over $18 billion in transaction volume and served in various executive management capacities with SuperValu, Ahold, Giant Food Stores, Farm Fresh and Safeway. He was formerly the SVP - Operations for Shoppers Food, and EVP - Finance/Administration, CFO of Ahold USA. Smith served as an EVP - Finance/Administration of US Food Service and Giant Food Stores. He also served as COO for Versatile Systems and has provided strategy consulting services. Smith is a CPA, has an MBA from Virginia Commonwealth University and a doctorate from The George Washington University. Smith serves as a faculty member for The National Association of Corporate Directors and serves on a number of boards.

Carlos A. Garcia

Garcia has nearly 10 years of investment banking experience specializing in analysis of the financial and operational information of food companies, applying the data to detailed pricing models and conducting financial and strategic analyses of mergers, acquisitions, divestitures, debt placements and recapitalizations. Over the last 5 years, Garcia has analyzed more than 120 transactions involving food companies. Prior to forming The Food Partners, Garcia served as senior associate at KPMG Retail Ventures, KPMG's most successful corporate finance group in the United States. Prior to joining KPMG Retail Ventures, Garcia was a Senior Consultant for KPMG's Corporate Finance group in Texas, where he participated in general financial and strategic advisory projects, mergers, acquisitions, divestitures, debt placements and recapitalizations. Additionally, Garcia assisted other KPMG groups in financial modeling, valuation analysis, litigation support and forensic accounting projects in the U.S and Latin America. Garcia is fluent in Spanish.

Douglas A. Herman

Douglas A. Herman has six years of investment banking experience within the food industry focusing on buy- and sell-side advisory services. Herman specializes in acquisition and divestiture processes, transaction analytics as well as in the research of transaction multiples, key financial ratios and industry trends within the retail, distribution, input and manufacturing sectors. Herman’s transaction experience includes merger, acquisition and divestiture work both in and out of bankruptcy in the supermarket, food manufacturing and retail drug industries. Prior to joining The Food Partners, Herman worked at the World Bank Group. Herman has a Bachelor’s Degree from Brandeis University and a MBA from the R.H. Mitchell has nine years of grocery industry experience and assists with analytical and strategic projects. Additional responsibilities include researching the retail and grocery industry landscape and preparing store profiles and client presentations. Prior to joining The Food Partners, Mitchell was with Albertsons, Inc. where she worked in the real estate and the business development/corporate strategy departments. While at Albertson's, she assisted with a multi-billion dollar acquisition as well as rationalizing the company's portfolio.

David W. Frost - Frost & Partners

Mr. Terence J. Long - Business Renewal Consulting

Mr. Long has been providing business consulting, financial advisory, interim management and fiduciary services to a wide range of industries for over 19 years. His broad based experience includes public accounting and auditing, and serving in senior management and finance positions in both private and public companies . Mr. Long is experienced in international operations and has extensive experience in Bankruptcy and Receiverships. He has served as a Consultant, Receiver, Debtor-in-Possession, Disbursing Agent, Trustee, Examiner and Creditors' Committee Chairman.

Mr. Long is a Certified Turnaround Professional, a Certified Insolvency and Restructuring Advisor, a Certified Public Accountant and is Certified in Financial Forensics by the AICPA. He received his MBA in Finance from California State University, Fresno and his BS in Accounting with a minor in Economics from San Jose State University. He has also completed the Executive Financial Management Program at Stanford University.

Mr. Long is a Director and President of the Central California Receivers Forum, a Board Member of California Receivers Forum, a Director and Treasurer of the Central California Bankruptcy Association and a member of the Turnaround Management Association, Association of Insolvency and Restructuring Advisors and American Institute of Certified Public Accountants.

Robert J. Stevens

Mr. Stevens joined The Food Partners after 32 years in banking. His career encompassed management roles in commercial lending and special asset management at Wells Fargo Bank and later at Rabobank Nederland. Stevens transitioned from Rabobank's special asset unit to various management roles in their retail banking division. This led to his appointment as Chief Credit Officer of Rabobank, N.A. where he led the development of the credit risk management group and was a key contributor to the growth of the franchise. Mr. Stevens' recent consulting work with Mission Community Bancorp resulted in his joining the company as Chief Credit Officer of the holding company and bank in April 2011. He will continue in a strategic advisory capacity with The Food Partners.
