Profiles David W. Schoeder Principal Schoeder has 27 years of investment banking experience within the food industry specializing in debt restructuring, private placement, debt placement and strategic advisory services. He is also a leading national expert on capitalization and governance issues relating to cooperatives. Over the last seven years, he has been involved in the placement of nearly $2.5 billion of debt financing. Schoeder served as managing director at both KPMG Retail Ventures and the Cooperative Funding Corp., the investment banking affiliate of National Cooperative Bank, prior to forming The Food Partners. While at the Cooperative Funding Corp., Schoeder was involved in the placement of more than $1 billion of debt financing. Prior to the Cooperative Funding Corp., Schoeder served as the assistant treasurer of Farm Credit Banks of St. Paul, a $12 billion lending institution to agribusinesses. He serves on the board of a number of private companies including Blooming Prairie, a leading wholesale cooperative distributor of natural and organic foods. Schoeder is second generation to the food industry. Matthew S. Morris Principal Morris has over ten years of corporate finance and investment banking experience within the food industry focusing on mergers, acquisitions and divestitures. Morris specializes in concurrently executing and closing multiple buyer transactions across multiple markets. Select clients for such 'portfolio divestiture' services have included Albertson's, Food Lion, Kroger, Supervalu and Winn-Dixie. Morris also has experience providing clients in bankruptcy with strategic and divestiture services. Over the last six years, Morris has been an advisor on over 50 transactions. Prior to forming The Food Partners, Morris served as a Manager at KPMG Retail Ventures, KPMG's most successful corporate finance group in the United States. Morris began his career as an attorney at the U.S. Securities and Exchange Commission where he, among other duties, analyzed disclosure in registration statements for corporate transactions including mergers and acquisitions, tender and exchange offers and spin-offs. Mary L. Burke Principal Burke has 17 years of investment banking experience within the food industry specializing in financial restructurings, recapitalizations, turn-arounds, private and public placements of debt and equity capital and providing corporate finance and strategic advisory services. Burke has been the advisor on more than 100 recapitalizations, placements, mergers, acquisitions and divestitures representing total consideration in excess of $10 billion. Prior to joining The Food Partners, Burke was chair of the board and interim chief executive officer at Associated Grocers, Inc. of Seattle, a $1 billion cooperative grocery wholesaler. Prior to Associated Grocers, Burke was chief financial officer at Imperial Sugar Company (OTCBB: IPSU), the largest refined sugar supplier in the United States, and helped the company grow through acquisitions from $400 million to $2 billion in sales. Prior to Imperial Sugar, Burke was a managing director at Harris Nesbitts Food Group specializing in input, manufacturing, processing, distribution and retail companies. Burke has a BA from Saint Mary's College, Notre Dame, Indiana and a MBA from the University of Chicago. Carlos A. Garcia Director Garcia has nearly 10 years of investment banking experience specializing in analysis of the financial and operational information of food companies, applying the data to detailed pricing models and conducting financial and strategic analyses of mergers, acquisitions, divestitures, debt placements and recapitalizations. Over the last 5 years, Garcia has analyzed more than 120 transactions involving food companies. Prior to forming The Food Partners, Garcia served as senior associate at KPMG Retail Ventures, KPMG's most successful corporate finance group in the United States. Prior to joining KPMG Retail Ventures, Garcia was a Senior Consultant for KPMG's Corporate Finance group in Texas, where he participated in general financial and strategic advisory projects, mergers, acquisitions, divestitures, debt placements and recapitalizations. Additionally, Garcia assisted other KPMG groups in financial modeling, valuation analysis, litigation support and forensic accounting projects in the U.S and Latin America. Garcia is fluent in Spanish. Philip A. Zoloto Director Zoloto has ten years of investment banking experience within the food industry. Zoloto's transaction experience includes recapitalizations, buyouts, and sell-side advisory assignments. Prior to joining The Food Partners, Zoloto was with Harris Nesbitt's Equity Sponsor Group where he executed leveraged transactions with middle market private equity funds. Previous to that, Zoloto was an associate in Harris Nesbitt's Food Group where he provided corporate finance and advisory services to public and private companies in the food sector. Zoloto also worked for Arbor Private Investment Company, a Chicago based private equity firm specializing in the food and beverage industries. Zoloto has a Bachelor's Degree from the University of Illinois, Urbana-Champaign and a MBA from the University of Chicago. Jodi T. Kusak Associate Kusak has seven years of investment banking experience developing client presentations, conducting research for client acquisition searches, corporate marketing and building proprietary contact databases. Prior to joining The Food Partners, Kusak served as a Special Projects Coordinator and Display Chair for PONCHO, one of the country's largest non-profit organizations benefiting over 100 local arts organizations. Douglas A. Herman Associate Herman specializes in the research of transaction multiples, key financial ratios and industry trends within the input, manufacturing, distribution and retail sectors. Prior to joining The Food Partners, Herman worked at The World Bank Group. He is fourth generation to the food industry. Associate Mitchell has nine years of grocery industry experience and assists with analytical and strategic projects. Additional responsibilities include researching the retail and grocery industry landscape and preparing store profiles and client presentations. Her emphasis is on mergers, acquisitions and divestitures. Prior to joining The Food Partners, Mitchell was with Albertsons, Inc. where she worked in the real estate and the business development/corporate strategy departments. While at Albertson's, she assisted with a multi-billion dollar acquisition as well as rationalizing the company's portfolio.
O'Brien has 19 years of investment banking experience within the food industry specializing in mergers, acquisitions and divestitures and providing corporate finance and strategic advisory services. Over the last seven years, O'Brien has been the advisor on more than 60 mergers, acquisitions, divestitures and recapitalizations representing total consideration in excess of $3.0 billion, and he has been involved in the establishment and funding of more than 25 ESOPs. Prior to forming The Food Partners, O'Brien was a managing director at KPMG Retail Ventures, KPMG's most successful corporate finance group in the United States. Prior to KPMG Retail Ventures, O'Brien was managing director of the Cooperative Funding Corp., the investment banking affiliate of National Cooperative Bank. He began his career as an analyst at Swiss Bank Corp., which was both an investor in and lender to food-related LBO groups and funds including Kohlberg Kravis Roberts & Co. and Forstmann Little & Co.
